These Terms explain how we trade with our wholesale customers. By placing an order with Origin Manufacturing, you agree to the following conditions.

1. Who We Are & Who You Are

The Company: Origin Manufacturing (referred to as "we", "us", or "our").
The Customer: The business, firm or registered individual buying goods from us.
These Terms apply to all orders unless we confirm otherwise in writing.

2. Orders & Contracts

A contract starts once we confirm your order in writing (by email or invoice).
Quotations and prices we provide are invitations to trade, not binding offers.
Once placed, orders cannot usually be cancelled or amended as processing begins immediately.

3. Prices & Minimum Orders

Our prices are shown on our website, in our current price list, or in a written quotation.
VAT is added at the rate in force at the time of dispatch.
Minimum order value:
- UK mainland: £500 net (free delivery over this amount).
- Northern Ireland: £2,000 net (free delivery above this).
- Other locations: charges vary by size and destination.

4. Payment

Invoices are issued when goods are dispatched.
Payment must be made in GBP (£ sterling).
Agreed credit terms are shown on your invoice.
If payment is late:
- All outstanding balances become immediately payable.
- We may suspend future deliveries or withdraw credit facilities.

5. Delivery & Collection

Delivery timescales (from dispatch):
- Mainland UK: approx. 2 working days
- Highlands & Islands: 3–5 working days
- Europe: 10–14 working days
Deliveries arrive by tail-lift lorry. Please ensure safe access and have someone 18+ present to sign.
If you cannot accept delivery, we may charge for re-delivery or storage.
Collection is free of charge from:
Moore View Works, Bradford, West Yorkshire, BD7 4EX (by prior arrangement).

6. Risk & Ownership

Responsibility for goods passes to you once delivered (or when delivery was attempted but refused).
Ownership of goods remains with Origin Manufacturing until we receive full cleared payment.
Until payment is made, we may require goods to be returned or recover them directly.

7. Returns & Faulty Goods

We do not accept returns of unwanted or non-faulty goods.
Shortages or damages must be reported within 5 working days of delivery.
If goods arrive visibly damaged: note this on the delivery paperwork while the driver is present.
For faulty items:
- Email info@originmanufacturing.co.uk with details (and photos, if possible).
- We may request goods are returned for inspection. Returns are at your expense initially; if liability is accepted, we’ll reimburse reasonable return costs.
Our liability never exceeds the value of the goods supplied.

8. Liability

We are not liable for indirect losses such as lost profits, goodwill, or business opportunities.
We are not liable for delivery delays caused by factors outside our control (Force Majeure).
Nothing in these Terms excludes our liability for death, personal injury, or fraud.

9. Confidentiality

Any confidential business information shared between us must not be disclosed to third parties unless required by law.

10. Governing Law

These Terms are governed by the law of England and Wales.
Any disputes will be handled exclusively by the courts of England and Wales.
